01 / About these terms
These Terms of Use apply to the public website at intertie.ai and its research materials (the “Site”), operated by Intertie.ai Inc, a Delaware corporation doing business as INTERTIE.ai (“we,” “us” or “our”). Please read them before using the Site. By using the Site, you agree to these terms to the extent permitted by applicable law. If you do not agree, please stop using it.
These are website terms. They do not create an order, reservation of capacity, GPU or cloud-service subscription, investment commitment, service-level agreement or other commercial engagement. Separately agreed written terms govern those arrangements and prevail for their subject matter.
02 / Eligibility and lawful use
The Site is intended for adults acting for themselves or on behalf of a business. You must be at least 18 and have legal capacity to agree to these terms. If you act for an organisation, you must be authorised to do so. You must use the Site in accordance with applicable laws, including applicable sanctions and export-control restrictions.
03 / Information and research
The Site provides general information about our business and research. Research includes third-party sources, assumptions, estimates and opinions as of the stated date. It is not personalised investment, financial, legal, tax or engineering advice, and it is not an offer to sell or a solicitation to buy securities or investment interests. Obtain advice appropriate to your circumstances before relying on it for a decision.
Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or other interest in Intertie.ai Inc, any affiliate or project company, or any fund or investment vehicle. Any such offer, if made, will be made only through definitive offering documents, such as a private placement memorandum, and only to persons who meet the eligibility requirements of the applicable securities laws. Do not rely on the Site in making any investment decision.
Statements about plans, expected development, GPU fleets, capacity, timelines or future services may be forward-looking and are subject to uncertainty. A company strategy or illustrated system is not evidence that a particular asset is owned, energised or available for service. Project status, technical specifications, availability, prices and commitments must be confirmed through the applicable commercial process and written agreement. We do not undertake to update every statement unless required by law.
04 / Intellectual property and permitted sharing
The Site’s content, design and materials belong to us or our licensors and are protected by applicable intellectual-property laws. Except where a material states otherwise, you may access the Site and download our public reports for personal or internal business use. You may share an unaltered public report with its attribution, notices and source links intact, and quote reasonable excerpts with attribution and a link to the original. These permissions do not permit selling the materials, representing them as your work or implying our endorsement.
Other reproduction, modification, commercial distribution or use of our branding requires permission, except as otherwise allowed by law. Third-party material, names and marks remain subject to their owners’ rights and any stated licence. References to another organisation do not by themselves imply a partnership or endorsement.
05 / Downloads and enquiries
Some reports require an email address before download. Please use an address you are entitled to provide and do not impersonate another person. The download authorisation is temporary; do not circumvent access controls or use the form to submit unsolicited or third-party information.
We handle personal information as described in our Privacy Policy. Downloading a report does not subscribe you to marketing emails or create a customer relationship. An initial enquiry does not create confidentiality obligations; do not send confidential or sensitive project information until an appropriate confidentiality arrangement is in place.
06 / Acceptable use
You must not use the Site to break the law, infringe rights, misrepresent your identity, introduce malicious software, probe or access systems without authorisation, interfere with other users, bypass security or download controls, or impose unreasonable load.
Ordinary public search indexing and automated discovery consistent with our published robots.txt are permitted, provided they do not bypass controls or disrupt the Site. This permission does not grant a broader licence to reproduce, resell or otherwise exploit the content. Other automated activity must comply with these terms and applicable law.
07 / Third-party links
Links to external sources and services are provided for reference or convenience. We do not control their content, availability or practices. Your use of those sites is subject to their terms and privacy policies.
08 / Availability and warranties
To the fullest extent permitted by law, the Site and its materials are provided “as is” and “as available,” without express or implied warranties, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted, error-free or secure access, or that materials will remain current. We may correct, change, suspend or withdraw parts of the Site.
Nothing in these terms excludes a warranty or right that applicable law does not allow us to exclude.
09 / Limitation of liability
To the fullest extent permitted by applicable law, Intertie.ai Inc and its officers, employees and representatives will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or lost profits, revenue, opportunities or data, arising from use of or inability to use the Site. Our aggregate liability for claims arising out of these website terms or the Site will not exceed US$100.
These limitations do not apply to fraud, wilful misconduct, gross negligence, or any liability that cannot lawfully be excluded or limited. They do not alter liability under a separately signed commercial agreement. Some jurisdictions do not allow certain exclusions or limits; in those jurisdictions they apply only to the extent permitted.
10 / Responsibility for misuse
To the extent permitted by law, you agree to indemnify Intertie.ai Inc against third-party claims, damages and reasonable legal costs caused by your unlawful use of the Site, infringement of another person’s rights, or material breach of these terms. This does not apply to the extent a claim is caused by our own unlawful conduct. We will notify you of a claim for which we seek indemnity and provide a reasonable opportunity to participate in its defence.
11 / Governing law and disputes
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Subject to any mandatory law that gives you a different right, disputes relating to these terms or the Site will be brought in the state or federal courts located in Delaware, and the parties submit to those courts’ jurisdiction.
Please contact partner@intertie.ai if a concern arises so that we can try to resolve it. Nothing here requires arbitration, waives a right that cannot lawfully be waived, or limits a separate dispute-resolution agreement for commercial services.
12 / Changes and general provisions
We may revise these terms prospectively by posting an updated version with a new effective date. Material changes will be identified on the Site, with additional notice or assent where required by law. Changes will not retroactively govern a dispute that arose before they took effect.
If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. These terms govern use of the Site and do not amend a separate written agreement. No person other than the parties is given an independent right to enforce these terms except where applicable law requires it.
